1. Leading and supporting all legal aspects for negotiating and closing complex deals, including drafting, strategy, risk and mitigation analysis, internal reviews and liaison with all subject matter experts in their various disciplines.
2. Required to work as a leader and as part of legal and cross opportunity pursuit teams
2. Oversee, counsel, guide, train and support junior transactional lawyers.
3. Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company's transactional practices.
4. Educate company executives in regard to legal and risk management issues.
5. Represent company's interests and interface directly with client counsel and negotiating teams.
6. Strategize with company executives prior to client negotiations
7. Structure client transactions to be most advantageous from a legal and business perspective.
6. Counsel, advise, and consult company executives based on accurate interpretation of contract documents and the facts of a business opportunity.
7. Develop internal guidelines, toolkits, and packaged knowledge on various legal and business issues.
8. Develop subject matter expertise in one of more areas that benefit Legal and/or our business.
9. Support, promote and implement Legal Group initiatives
10. Conduct training to company executives and internal customers on various legal and business issues.
11. Strong transactional experience in technology transactions - consulting, systems integration, technology and business process outsourcing and digital/interactive/analytics - such experience should be in a law firm or in a corporate legal/transaction group for a IT services vendor, or on the purchaser side for the IT department of a multi-national corporate.
12. Proven ability to efficiently manage a large volume of transactions.
13. Experience negotiating Intellectual Property issues and advising on broader corporate transactions.

3. Basic understanding of Intellectual Property issues as they apply to technology transactions.
